TABLETAP TERMS OF SERVICE

Welcome to TableTap, a restaurant technology platform operated by Table Tap Solutions Ltd (“Table Tap Solutions Ltd”, “TableTap”, “we”, “us”, or “our”).

These Terms of Service (“Terms”) govern your access to and use of the TableTap website, software, applications, restaurant dashboards, QR ordering services, digital menus, and other products and services provided by Table Tap Solutions Ltd (collectively, the “Platform”).

By creating an account, subscribing to a TableTap service, or accessing or using the Platform, you agree to these Terms. If you do not agree with these Terms, please do not use the Platform.

1. About TableTap

TableTap is a technology platform operated by Table Tap Solutions Ltd that provides restaurants and food-service businesses with tools for digital menus, QR-based ordering, restaurant management, customer ordering, and related services.

Table Tap Solutions Ltd provides technology and software services. Table Tap Solutions Ltd is not the restaurant, food seller, merchant, payment processor, or financial intermediary for transactions between restaurants and their customers.

Restaurants using TableTap remain independent businesses and are solely responsible for their products, food, services, prices, availability, order fulfilment, refunds, customer service, regulatory obligations, and other aspects of their business.

2. Eligibility

By using the Platform, you represent that:

  • you have the legal capacity to enter into these Terms;

  • the information you provide to us is accurate and complete;

  • you are authorised to act on behalf of a restaurant or business where applicable; and

  • your use of the Platform will comply with applicable laws and regulations.

If you create an account on behalf of a restaurant or business, you represent that you have authority to bind that business to these Terms.

3. Restaurant Accounts

Restaurants may be required to create an account to access certain TableTap services.

You are responsible for:

  • providing accurate and complete registration information;

  • keeping your account information accurate and up to date;

  • maintaining the confidentiality of your login credentials;

  • restricting access to authorised users;

  • notifying Table Tap Solutions Ltd promptly of any unauthorised access; and

  • all activity carried out through your account.

Restaurants are also responsible for ensuring that their menus, prices, restaurant information, payment instructions, product descriptions, operating hours, and availability are accurate and current.

4. Subscription Services and Fees

Certain TableTap services are available through paid subscription plans.

The applicable subscription price, billing frequency, features, and any applicable taxes will be displayed before you purchase or renew a subscription.

Table Tap Solutions Ltd collects subscription fees for the use of the TableTap Platform.

Subscription fees paid to Table Tap Solutions Ltd are separate from payments made by restaurant customers for food, beverages, products, or other services purchased from a restaurant.

Failure to pay applicable subscription fees may result in the suspension or termination of access to paid TableTap services.

5. Restaurant Customer Payments

Table Tap Solutions Ltd does not collect, hold, or settle restaurant sales proceeds on behalf of restaurants.

Restaurants are responsible for selecting, configuring, maintaining, and managing their preferred payment methods for customer transactions.

Depending on the restaurant's configuration, customers may pay restaurants through methods including:

  • cash;

  • bank transfer;

  • POS or card payments; and

  • online payments through a payment gateway configured and controlled by the restaurant.

Where a restaurant chooses to accept online payments, the restaurant is responsible for opening and maintaining its own account with the applicable payment provider, including Paystack or another supported payment provider.

The restaurant is responsible for completing all required verification, Know Your Customer (“KYC”), compliance, settlement, refund, chargeback, and other requirements imposed by its chosen payment provider.

Customer payments made through a restaurant's independently configured payment provider are not collected or held by Table Tap Solutions Ltd.

Table Tap Solutions Ltd does not determine when such funds are settled to the restaurant and is not responsible for payment-provider settlement arrangements.

6. Payment Providers and Third-Party Services

TableTap may integrate with or provide links to third-party services, including payment providers, hosting providers, analytics services, messaging providers, and other technology providers.

Third-party services operate under their own terms and privacy policies.

Table Tap Solutions Ltd is not responsible for:

  • third-party payment-provider downtime;

  • payment-provider account suspension;

  • delays in payment settlement;

  • payment reversals;

  • chargebacks;

  • payment-provider fees;

  • payment disputes; or

  • failures caused by third-party services.

Restaurants are responsible for maintaining their relationship with their chosen payment providers.

7. Restaurant Orders and Responsibilities

Restaurants are solely responsible for orders placed with them through the Platform.

This includes responsibility for:

  • accepting or rejecting orders;

  • preparing and supplying food or products;

  • ensuring food and products meet applicable standards;

  • maintaining accurate menus and prices;

  • fulfilling orders;

  • communicating with customers;

  • handling cancellations and refunds;

  • complying with food-safety requirements;

  • complying with consumer-protection laws; and

  • resolving disputes concerning their products or services.

Table Tap Solutions Ltd does not guarantee that any restaurant will receive a particular number or value of orders.

8. Customer Responsibilities

Customers using TableTap are responsible for providing accurate information necessary to place and fulfil an order.

Customers acknowledge that the relevant restaurant, and not Table Tap Solutions Ltd, is responsible for:

  • food and product quality;

  • food preparation;

  • product availability;

  • order fulfilment;

  • restaurant pricing;

  • restaurant refunds; and

  • other matters relating to the restaurant's products and services.

Complaints concerning a restaurant order should generally be directed to the relevant restaurant.

9. Acceptable Use

You must not use the Platform to:

  • violate any applicable law or regulation;

  • provide false, misleading, or fraudulent information;

  • impersonate another person or business;

  • gain unauthorised access to another account;

  • interfere with the security or operation of the Platform;

  • introduce viruses, malware, or other harmful code;

  • attempt to reverse engineer or extract the source code of the Platform except where legally permitted;

  • use the Platform to facilitate fraudulent activity;

  • infringe the intellectual-property rights of another person; or

  • use the Platform in a way that could damage Table Tap Solutions Ltd, restaurants, customers, or third parties.

10. Restaurant Content

Restaurants retain ownership of content they submit to TableTap, including logos, photographs, menus, descriptions, prices, business information, and other materials (“Restaurant Content”).

By submitting Restaurant Content, you grant Table Tap Solutions Ltd a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, distribute, and technically modify that content as reasonably necessary to operate, provide, maintain, market, and improve the Platform.

You represent and warrant that you have the necessary rights and permissions to submit and use the Restaurant Content.

11. Intellectual Property

The TableTap Platform, including its software, technology, design, branding, trademarks, logos, interfaces, graphics, text, features, and underlying systems, is owned by or licensed to Table Tap Solutions Ltd and is protected by applicable intellectual-property laws.

Except where expressly permitted by these Terms or applicable law, you may not copy, reproduce, modify, distribute, sell, lease, license, or commercially exploit any part of the Platform without our prior written permission.

12. Platform Availability

Table Tap Solutions Ltd will use reasonable efforts to maintain the availability and functionality of the Platform.

However, we do not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

The Platform may become temporarily unavailable due to:

  • maintenance;

  • upgrades;

  • technical issues;

  • security incidents;

  • internet or telecommunications failures;

  • third-party service interruptions;

  • events beyond our reasonable control; or

  • other operational requirements.

Table Tap Solutions Ltd may modify, suspend, or discontinue features of the Platform where reasonably necessary.

13. Third-Party Links and Services

The Platform may contain links, integrations, or services provided by third parties.

Your use of third-party services may be subject to separate terms and privacy policies.

Table Tap Solutions Ltd does not control and is not responsible for third-party services, websites, content, policies, availability, or performance.

14. Subscription Cancellation and Refunds

Subscription cancellation procedures and refund eligibility depend on the applicable subscription plan and terms presented at the time of purchase.

Unless otherwise stated or required by applicable law, cancellation of a subscription does not automatically entitle the subscriber to a refund for a period already paid for.

Where a refund is required by applicable law or expressly provided under an applicable subscription plan, it will be processed in accordance with the applicable terms.

15. Suspension and Termination

Table Tap Solutions Ltd may suspend or terminate your access to the Platform where:

  • you materially breach these Terms;

  • you fail to pay applicable subscription fees;

  • your use of the Platform creates a security, legal, or operational risk;

  • you engage in fraudulent or unlawful activity;

  • you provide materially false information; or

  • we are required to do so by law or a competent authority.

Where reasonably practicable, we will provide notice before suspension or termination.

You may stop using the Platform at any time, subject to outstanding contractual or payment obligations.

16. Disclaimer

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis.

Table Tap Solutions Ltd does not guarantee that:

  • the Platform will always be available;

  • the Platform will be completely error-free;

  • every order will be successfully processed;

  • third-party payment services will always function;

  • restaurants will receive a particular level of sales; or

  • information provided by restaurants or customers will always be accurate.

Table Tap Solutions Ltd does not guarantee or assume responsibility for the quality, safety, legality, availability, or suitability of food, beverages, products, or services offered by restaurants.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Table Tap Solutions Ltd will not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of or inability to use the Platform.

This includes losses arising from:

  • restaurant operations;

  • customer disputes;

  • food or product quality;

  • payment-provider failures;

  • payment delays;

  • chargebacks;

  • loss of revenue;

  • third-party services; or

  • interruption of the Platform.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Table Tap Solutions Ltd, its directors, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

  • your breach of these Terms;

  • your unlawful use of the Platform;

  • your Restaurant Content;

  • your violation of a third party's rights; or

  • your business operations, products, food, services, or customer transactions.

19. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how Table Tap Solutions Ltd collects, uses, stores, protects, and otherwise processes personal information.

Our privacy practices are intended to comply with applicable Nigerian data-protection requirements, including the Nigeria Data Protection Act 2023 and applicable guidance issued by the Nigeria Data Protection Commission.

20. Changes to These Terms

Table Tap Solutions Ltd may update these Terms from time to time to reflect changes to the Platform, our services, applicable law, or our business practices.

Where appropriate, we will provide reasonable notice of material changes.

Your continued use of the Platform after revised Terms become effective constitutes acceptance of the updated Terms.

21. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, unless applicable law requires otherwise.

Any dispute arising from these Terms or your use of the Platform shall be subject to the jurisdiction of the competent courts of Nigeria.
